Account Disclosures

Online Service Agreement

These USA Federal Credit Union BusinessLink Online and Business Bill Pay Disclosures and Agreements (Disclosures and Agreements) govern your use of the USA Federal Credit Union BusinessLink Online and/or USA Federal Credit Union Business Bill Pay. By using BusinessLink Online and/or Business Bill Pay, you agree to these Disclosures and Agreements. Please read these Disclosures and Agreements carefully and print a copy for your records. Each of your accounts at USA Federal Credit Union is also governed by the applicable account disclosure statement ("All About Your Credit Union Accounts" Disclosure Statement).

 

As used in these Disclosures and Agreements, "you" or "your" refers to the person(s) subscribing to or using the Service (including without limitation others you permit to use the Service); "Credit Union", "we", "us" or "our" refers to USA Federal Credit Union and any agent, independent contractor, designee, or assignee USA Federal Credit Union may, in our sole discretion, involve in the provision of the Service.

 

The first time you access your accounts through BusinessLink Online and/or Business Bill Pay confirms your agreement to be bound by all the disclosures and agreements and acknowledges your receipt and understanding of this Disclosure and Agreement.

 

Agreement

These Disclosures and Agreements, constitute the agreement between you and us related to the Service and supplement any other agreement or disclosure related to any of your Accounts.

 

In the event of a conflict between these Disclosures and Agreements and any other agreement or disclosure related to any of your Accounts, any statement by our employees or agents, or any representation or statement relating to or set forth in the Software, as to matters relating to the Service, these Disclosures and Agreements shall control.

 

In addition to this Agreement you agree to be bound by and will comply with the requirements of the applicable Account Disclosure Statement, the Credit Union's rules and regulations, the rules and regulations of any funds transfer system to which the credit union belongs, and applicable state and federal laws and regulations.

 

Termination

The Credit union reserves the right to terminate this Online Service Agreement and your access to Online Financial Services through USA Federal Credit Union BusinessLink Online, in whole or in part, at any time.

 

Assignment

USA Federal Credit Union may assign its rights and responsibilities under this Online Service Agreement to independent contractors or other third parties.

 

No Unilateral Alterations To Disclosures And Agreements By You

These Disclosures and Agreements may not in any way be altered by you without our express written agreement. Any attempt by you to alter these Disclosures and Agreements without our express written agreement shall be void and shall have no legal effect.

You hereby agree to indemnify and hold us harmless from and against any and all claims, losses, liabilities, penalties, expenses and any or other damages (including without limitation reasonable attorney's fees) directly or indirectly resulting from, relating to or arising in connection with any successful or unsuccessful attempt by you to alter these Disclosures and Agreements without our express written agreement.

 

Amendments/Change of Terms

USA Federal Credit Union may, from time to time, introduce new Online financial services. We shall update this Online Service Agreement to notify you of the existence of these new services. By using these services when they become available, you agree to be bound by the rules contained in our updated Online Service Agreement.

 

The Credit Union reserves the right to amend, modify, revoke, or cancel the terms of this Disclosure and Agreement or any Transaction services contemplated herein. If notification is required by law, notice will be mailed to you at the address shown on the Credit Union's records. It is the obligation of each member to update any new addresses. Any revised, amended, or modified conditions, rules, regulations shall be effective at the earliest date allowed by law.

 

Prior notice may not be given if an immediate change is necessary to protect the security of your account or the electronic transfer systems. Use of this Service is subject to existing regulations and any future changes in those regulations.

 

If you do not agree to the change or amendment, you must notify us prior to the effective date of the change or amendment and cancel your access to the Service. By using the Service after the effective date of any change or amendment, you agree to that change or amendment.

 

Notice of Your Rights and Liabilities

Except as otherwise provided in these Disclosures and Agreements or by law, you hereby expressly release and discharge us so that we are not responsible for any loss, injury, or damage, whether direct, indirect, special, or consequential, economic or otherwise, caused by the Service or the use of the Service.

 

We are not responsible for any products or services relating to your personal computer, other than those specified in these Disclosures and Agreements. We also are not responsible for any damage to your personal computer, modem, telephone or other property resulting from your use of the Service.

 

Without limiting the generality of the foregoing, we are not responsible for any loss, damage or injury resulting from (a) an interruption in your electrical power or telephone service; (b) the disconnecting of your telephone service by your local telephone company or from deficiencies in your line quality; or (c) any defect or malfunction of your home computer, modem, or telephone service.

 

Limitation of Liability

Tell us AT ONCE if you believe that your PIN has been lost or stolen. Telephoning is the best way of keeping your possible losses down. You could lose all the money in your accounts (plus the maximum of any available overdraft lines of credit).

 

If you believe your PIN has been lost or stolen or that someone has transferred or may transfer money from any of your accounts without your permission:

If you tell us within two (2) Business Days after you discover that your PIN has been lost or stolen, you can lose no more than $50 if someone used your PIN without your permission.

If you do NOT tell us within two (2) Business Days after you learn of the loss or theft of your Quick Connect PIN, and we can prove we could have stopped someone from using your Quick Connect PIN without your permission if you had told us, you could lose as much as $500.

 

Errors And Questions

If your statement shows payments or transfers that you did not make or authorize, tell us at once. If you do not tell us within sixty (60) days after the statement was mailed to you, you may not get back any money you lost after the sixty (60) days if we can prove that we could have stopped someone from taking the money if you had told us in time. If a good reason (such as a long trip or hospital stay) prevented you from telling us, we may extend the time periods.

 

In case of errors or questions about your payments or transfers, you should:

Please have ready the following information or include all in your correspondence to us:

•  Your name and account number.
•  Description of the error or the transaction you are unsure about.
•  Clear explanation why you believe it is an error or why you need more information.
•  Tell us the dollar amount of the suspected error.

 

If you tell us orally, we may require that you send us your complaint or question in writing within ten (10) Business Days. We will tell you the results of our investigation within twenty (20) Business Days after we hear from you and will correct any error promptly. If we need more time, however, we may take up to forty-five (45) days to investigate your complaint or question. If we decide to do this, we will provisionally credit your Account within ten (10) Business Days for the amount you think is in error, so that you will have the use of the money during the time it takes us to complete our investigation. If we ask you to put your complaint or question in writing and we do not receive it within twenty (20) Business Days, we may not credit your Account.

 

If we decide there was no error, we will send you a written explanation within three (3) Business Days after we finish our investigation. You may ask for copies of documents that we used in our investigation.

 

If your alleged error or question relates to a payment or transfer that resulted in an advance on your Account's Line of Credit, after we hear from you, we cannot try to collect any advance on your account's Line of Credit you question, or report you as delinquent.

 

We can continue to bill you for the amount you question, including finance charges, and we can apply any unpaid amount against your credit limit. You do not have to pay any questioned advance on your Account's Line of Credit while we are investigating, but you are still obligated to pay the advances that are not in question. If we find that we made a mistake, you will not have to pay any finance charges related to the questioned advance(s).

 

If we didn't make a mistake, you may have to pay finance charges, and you will have to make up any missed payments on the questioned advance(s). In either case, we will send you a statement of the amount you owe and the date that it is due. If you fail to pay the amount that we think you owe, we may report you as delinquent.

 

However, if our explanation does not satisfy you and you write to us within ten (10) days telling us that you still refuse to pay, we must tell anyone we report to that you have a question about your bill. And, we must tell you the name of anyone we reported you to. We must notify anyone we report to once the matter has been settled between us.

 

Except as otherwise provided in these Disclosures and Agreements or by law, you hereby expressly release and discharge us so that we are not responsible for any loss, injury, or damage, whether direct, indirect, special, or consequential, economic or otherwise, caused by BusinessLink Online or the use of BusinessLink Online.

 

Disclosure of Account Information

You authorize the Credit Union to disclose to third parties, agents, and affiliates, such as independent auditors, consultants or attorneys, information you have provided or that we have obtained about your accounts and the transfers you make:

•  to comply with government agency or court orders or requests; or
•  to verify the existence and condition of your account for a third party, such as a credit bureau or merchant; or
•  where it is necessary for completing transfers; or
•  to provide services relating to your account or to offer other products and services; or
•  if you give us your permission.

 

Business Bill Pay

The first time you access your Credit Union accounts through Business Bill Pay confirms your agreement to be bound by all the terms and conditions of this Online Access Agreement and acknowledges your receipt and understanding of this disclosure. Using the Business Bill Pay feature of BusinessLink Online follows the disclosure rules in the Electronic Funds Transfer disclosure which is distributed at the Credit Union offices. Our Liabilities

The Credit Union is not liable in any way for damages you incur if you do not have sufficient funds in your account to make the payment on the processing date, if the estimate of time to allow for delivery to the payee is inaccurate, or due to delays in mail delivery, changes of merchant address or account number, the failure of any merchant to account correctly for or credit the payment in a timely manner, or for any other circumstances beyond the control of the Credit Union.

 

Except as specifically provided in this Agreement or where the law requires a different standard, you agree that neither we nor the service providers shall be responsible for any loss, property damage or bodily injury, whether caused by the equipment, software, the Credit Union, OR by Internet browser providers such as Netscape (Netscape Navigator browser) and Microsoft (Microsoft Explorer browser), OR by Internet access providers OR by online service providers OR by an agent or subcontractor of any of the foregoing. Nor shall we or the service providers be responsible for any direct, indirect, special or consequential, economic or other damages arising in any way out of the installation, use or maintenance of the equipment, instructions to these payee/merchants that you provide us via USA Federal Credit Union Business Bill Pay.

 

USA Federal Credit Union will overdraft from your savings and/or Line of Credit according to the instructions you have given the Credit Union. We will notify you through Business Bill Pay on the day a payment is scheduled to be made if there are not sufficient available funds in your account. The Credit Union will attempt for two (2) consecutive days to make the payment for you. Each of these attempts to make the payment will also automatically issue a message to you if there are insufficient available funds. A final written notice and electronic message through Business Bill Pay will be sent to you of transactions we are not able to process because of insufficient available funds. At that time, your account will be charged the non-sufficient funds (NSF) fee. If we do not send a payment on time, or in the correct amount according to your instructions given in accordance with this disclosure, we will be liable for damages caused. However, there are some exceptions. We will not be liable, for instance, if:

1.  Through no fault of ours, your account does not contain sufficient available funds to make the payment or transfer.
2.  The payment or transfer would go over the credit limit on your overdraft line of credit.
3.  The equipment, phone lines, or computer systems were not working properly or were temporarily unavailable.
4.  Circumstances beyond our scope of control, such as fire or flood, prevented the payment or transfer, despite reasonable precautions that we have taken.
5.  A court order or legal process prevents us from making a transfer or payment.
6.  We have reasonable basis for believing that unauthorized use of your password or designated account have occurred or may be occurring or if you default under any agreement with us or if you or we terminate this Agreement.
7.  The payee does not process a payment correctly, or in a timely manner.

 

Changes to Charges, Fees, or Other Terms

We reserve the right to change the charges, fees or other terms described in this Online Service Agreement. When changes are made to any fees, charges, or other material terms we will update this Online Service Agreement and either send a notice to you at the address shown on our records, or send you an electronic mail message (E-mail). The notice will be posted or sent at least thirty (30) days in advance of the effective date of any additional fees for online transactions, or of any stricter limits on the type, amount or frequency of transactions or any increase in your responsibility for unauthorized transactions, unless an immediate change is necessary to maintain the security of the system. If such a change is made, and it can be disclosed without jeopardizing the security of the system, we will provide you with electronic or written notice within thirty (30) days after the change. As always, you may choose to accept or decline changes by continuing or discontinuing the accounts or services to which these changes relate. We also reserve the option, in our business judgment, to waive, reduce or reverse charges or fees in individual situations. Changes to fees applicable to specific accounts are governed by the applicable Account Disclosure Statement.
